Terms of Service

These Terms of Service ("Terms") govern your access to and use of the software, websites, APIs, and services provided by LORIQ Technologies, LLC ("LORIQ", "we", "us", or "our").

Important Notice: These website terms may be supplemented or replaced by a separate order form, subscription agreement, master services agreement, statement of work, data processing addendum, or enterprise agreement entered into between you and LORIQ.

1. Acceptance & Scope

By accessing or using our services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Accounts & Access

2.1 Eligibility

You must be at least 18 years of age to use our services. By using the services, you warrant that you meet this requirement.

2.2 Account Registration

You must provide accurate and complete information when registering an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3 Authorized Users & Organization Accounts

If you create an organization account, you are responsible for the actions of all authorized users under that account. You must ensure your authorized users comply with these Terms.

3. Subscriptions & Billing

3.1 Fees and Payment

Access to certain services requires payment of subscription fees. Fees are stated exclusive of taxes. You are responsible for paying all applicable taxes associated with your purchases.

3.2 Renewals and Trials

Subscriptions automatically renew unless canceled in accordance with the applicable terms. If we offer a free trial, your access will be limited to the trial period, after which you must purchase a subscription to continue use.

4. Services & Features

4.1 Beta Features

We may offer access to features labeled as "Private Beta", "Beta", or "In Development." These features are provided "as is" without any warranties, may be incomplete, and may be modified or discontinued at any time without notice.

4.2 AI Features

Certain features may utilize artificial intelligence. LORIQ software may support decision-making, but it does not make lending, legal, accounting, tax, investment, employment, or regulatory decisions on behalf of the customer. Outputs may be incomplete or inaccurate, and users must review important outputs. AI does not replace professional judgment, and customers remain entirely responsible for their decisions.

4.3 Implementation and Custom Development

Implementation services or custom development are governed by separate Statements of Work (SOWs). LORIQ retains all intellectual property rights in any custom development.

4.4 Third-Party Services, APIs, and Integrations

Our services may integrate with third-party platforms via APIs. We are not responsible for the performance, security, or data handling practices of third-party services. Access to LORIQ APIs is subject to rate limits and our API documentation.

5. Customer Responsibilities

5.1 Acceptable Use

You must use our services in compliance with our Acceptable Use Policy. You agree not to reverse engineer, scrape, misuse APIs, or circumvent security controls.

6. Customer Data & Privacy

6.1 Customer Data

You retain all rights to the data you submit to the services. You grant LORIQ a limited license to process this data solely to provide, support, and improve the services.

6.2 Security and Confidentiality

We implement reasonable security measures to protect your data. Both parties agree to maintain the confidentiality of each other's proprietary information, keeping it secure and not disclosing it to unauthorized third parties.

7. Intellectual Property

7.1 LORIQ IP

LORIQ retains all intellectual property rights in its software, documentation, and services.

7.2 Feedback

If you provide feedback or suggestions, you grant LORIQ a perpetual, irrevocable right to use that feedback without compensation.

8. Disclaimers & Limitations

8.1 Service Availability and Support

We strive to maintain service availability, but we do not guarantee uninterrupted access. Support is provided according to your specific subscription tier or enterprise agreement.

8.2 Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LORIQ'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO LORIQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES.

8.4 Indemnification

You agree to indemnify and hold LORIQ harmless from any claims arising out of your breach of these Terms, your use of the services, or any infringement of third-party rights caused by your data.

9. Suspension & Termination

9.1 Suspension

We may suspend your access to the services immediately if you violate these Terms or our Acceptable Use Policy.

9.2 Termination

Either party may terminate these Terms for cause upon written notice if the other party materially breaches these Terms and fails to cure the breach within thirty (30) days.

9.3 Data Export and Deletion

Upon termination, you may request data export within thirty (30) days, after which we will delete your data from our active systems.

10. General Provisions

10.1 Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes shall be resolved through binding arbitration in Fresno County, California under the rules of the American Arbitration Association.

10.2 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated to you via email or a notice in the application.
